1 About Picnic
Picnic is a social dining platform that facilitates in-person and virtual meal gatherings ("Picnics" or "Events") among adults for the purposes of friendship, professional networking, and meaningful conversation. Picnic is explicitly and intentionally NOT a dating application. Events are designed for platonic and professional connection only. Any use of the Service to pursue romantic relationships or engage in behavior inconsistent with this purpose is a violation of these Terms and our Community Guidelines.
2 Eligibility
To use the Service, you must:
- Be at least 18 years of age. The Service is not intended for individuals under the age of 18. By creating an account, you represent and warrant that you are 18 years of age or older.
- Have the legal capacity to enter into a binding contract.
- Not be prohibited from using the Service under applicable law.
- Not have had a previous account terminated by Picnic for violations of these Terms.
We reserve the right to verify your age at any time and to suspend or terminate accounts that we believe belong to users under 18.
3 Account Registration and Security
3.1 Account Creation
You may register for an account using an email address and password, or through supported third-party authentication providers (Apple, Google, or LinkedIn). You agree to provide accurate, complete, and current information during registration. You are responsible for all activity that occurs under your account.
3.2 Phone Verification
To protect the safety and integrity of our community, we may require you to verify a phone number associated with your account. Providing a false or another person's phone number is a violation of these Terms.
3.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately at [email protected] if you become aware of any unauthorized use of your account. Picnic is not liable for any loss resulting from unauthorized account access where you have failed to maintain the security of your credentials.
3.4 One Account Per Person
You may maintain only one active account. Creating multiple accounts, including for the purpose of circumventing a suspension or ban, is prohibited.
4 User Profiles and Content
4.1 Profile Accuracy
Your profile must accurately represent you. You may not use a false name, impersonate another person, or create a misleading profile. Profile photos must be clear, recent photos of you.
4.2 User-Generated Content
You retain ownership of all content you submit to the Service, including photos, event descriptions, reviews, and messages ("User Content"). By submitting User Content, you grant Picnic a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, display, distribute, and modify your User Content in connection with operating and improving the Service. This license ends when you delete your User Content or your account, subject to any prior distribution.
4.3 Content Standards
You agree not to submit User Content that:
- Is false, misleading, or deceptive
- Violates any applicable law or regulation
- Infringes the intellectual property rights of any third party
- Is defamatory, harassing, threatening, or abusive
- Contains nudity, sexual content, or graphic violence
- Promotes discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, national origin, or age
- Constitutes unsolicited advertising or spam
Picnic reserves the right to remove any User Content that violates these standards at our sole discretion, without notice.
5 Events and Attendance
5.1 Event Creation
Hosts who create Events represent that all information provided — including location, time, topic, and group parameters — is accurate and will be honored. Hosts are responsible for the Events they create and for moderating the experience at their Events consistent with Picnic's Community Guidelines.
5.2 Attendance Commitment
When you register to attend an Event, you are making a commitment to the host and other attendees. Picnic takes attendance reliability seriously because no-shows negatively impact other users who planned their time around the Event. Your attendance history, including your show rate and no-show count, will be visible on your public profile.
5.3 Cancellation
If you are unable to attend an Event you have registered for, you must cancel through the app as early as possible. Repeated no-shows without cancellation will result in consequences including but not limited to restrictions on your ability to join future Events, reduced visibility in Event discovery, and account suspension.
5.4 Event Cancellation by Host
Hosts may cancel Events through the app. When an Event is cancelled, all registered attendees will be notified promptly. Picnic is not responsible for any costs or inconvenience incurred by attendees in connection with an Event cancellation by a host.
5.5 Location Disclosure
Exact Event locations are only disclosed to confirmed attendees and the host, in order to protect participant safety. General location information is available to all users browsing Events.
6 Safety and Community Standards
6.1 Community Guidelines
Your use of the Service is subject to Picnic's Community Guidelines, which are incorporated into these Terms by reference. The Community Guidelines set out expected standards of behavior at Events and on the platform. Violations of the Community Guidelines may result in account suspension or termination.
6.2 Real-World Meetings
Picnic facilitates in-person gatherings between users who may not know each other. You acknowledge the inherent risks of meeting strangers and agree that Picnic is not responsible for the conduct of other users before, during, or after Events. You are solely responsible for your personal safety. We strongly encourage you to:
- Meet only in public venues
- Tell a friend or family member where you are going
- Arrange your own transportation
- Trust your instincts — if something feels wrong, leave
6.3 Prohibited Conduct
You agree not to:
- Use the Service for any illegal purpose
- Harass, threaten, stalk, or intimidate other users
- Use the Service for romantic or sexual solicitation
- Collect personal information about other users without their consent
- Attempt to circumvent any safety or verification features
- Use automated bots or scripts to access the Service
- Reverse engineer or attempt to extract the source code of the app
6.4 Reporting
If you encounter conduct that violates these Terms or the Community Guidelines, you should report it through the in-app reporting feature or by contacting us at [email protected]. We will investigate all reports and take appropriate action at our discretion.
7 Verification System
Picnic offers an optional user verification program. Verification is based on signals including phone number confirmation, attendance history, and peer attestations from other verified users. Verification badges represent our good-faith assessment of a user's identity and reliability based on available information — they do not constitute a guarantee of identity, safety, or good conduct. Picnic disclaims all liability for the actions of verified users.
8 Premium Subscription
8.1 Subscription Plans
Picnic offers a Premium subscription that unlocks advanced features including custom group sizes, verified-only event creation, and advanced filtering options. Pricing:

8.2 In-App Purchases
All Premium subscriptions are processed through Apple App Store or Google Play Store in-app purchase systems. By subscribing, you agree to Apple's or Google's applicable terms of service in addition to these Terms. Picnic does not directly process payment information.
8.3 Cancellation and Refunds
You may cancel your Premium subscription at any time through your Apple App Store or Google Play Store account settings. Cancellation takes effect at the end of the current billing period; you will retain Premium access until that date. Refunds are governed by the refund policies of Apple or Google, as applicable. Picnic does not issue refunds directly.
8.4 Free Tier
Free tier users have access to core features of the Service subject to limitations on group sizes (maximum 8 attendees) and concurrent event creation (one event per time slot). Picnic reserves the right to modify free tier limitations at any time.
9 Intellectual Property
The Picnic name, logo, app design, and all Picnic-created content are the intellectual property of Picnic and are protected by applicable copyright, trademark, and other laws. You may not use Picnic's intellectual property without our prior written consent. Your use of the Service does not grant you any ownership interest in Picnic's intellectual property.
10 Third-Party Services
The Service integrates with third-party services including Google Maps (for venue location and discovery), Apple App Store and Google Play Store (for distribution and in-app purchases), and cloud infrastructure providers. Your use of these third-party services is governed by their respective terms and privacy policies. Picnic is not responsible for the practices of any third-party service providers.
11 Privacy
Your privacy matters to us. Our Privacy Policy, available within the app and at startapicnic.com, explains how we collect, use, and share your personal information. By using the Service, you agree to our collection and use of information as described in the Privacy Policy, which is incorporated into these Terms by reference.

14 Indemnification
You agree to indemnify, defend, and hold harmless Picnic and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; (d) your interaction with other users, including in-person meetings at Events; or (e) your violation of any applicable law or the rights of any third party.
15 Termination
Picnic may suspend or terminate your account at any time, with or without notice, for any violation of these Terms or the Community Guidelines, or for any other reason at our sole discretion. You may delete your account at any time through the app settings. Upon termination, your license to use the Service ceases immediately. Sections 9, 12, 13, 14, 17, and 18 survive termination.
16 Modifications to Terms
Picnic reserves the right to modify these Terms at any time. If we make material changes, we will notify you through the app or by email at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and delete your account.
17 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration under Section 18, you consent to the exclusive jurisdiction of the state and federal courts located in Salt Lake County, Utah.
18 Dispute Resolution — Mandatory Arbitration
18.1 Agreement to Arbitrate
You and Picnic agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service ("Dispute") will be resolved by binding individual arbitration, not in court, except as set forth below.
18.2 Class Action Waiver
18.3 Arbitration Process
Arbitration shall be conducted under the rules of the American Arbitration Association ("AAA") Consumer Arbitration Rules, as modified by these Terms. The arbitration will be conducted in Salt Lake County, Utah, or remotely at the election of either party. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
18.4 Exceptions
Either party may bring an individual claim in small claims court. Either party may seek emergency injunctive relief in court to prevent irreparable harm pending arbitration. Claims related to intellectual property infringement are not subject to mandatory arbitration.
18.5 Opt-Out
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to [email protected]. Opting out does not affect any other provision of these Terms.
19 Miscellaneous
These Terms constitute the entire agreement between you and Picnic regarding the Service and supersede all prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision does not constitute a waiver. You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely. Notices to Picnic should be sent to [email protected].
